Bridge Round

A small, quick fundraise between formal rounds to extend runway until the next major round can close.

Definition

A bridge round (or bridge financing) is a short-term capital raise designed to extend a startup's runway until it reaches the metrics needed for the next major round or completes an ongoing fundraise. Bridge rounds are typically smaller than formal rounds, close faster, and often come from existing investors who want to protect their previous investment.

Bridge rounds are commonly structured as convertible notes or SAFEs with a discount to the anticipated next round. They "bridge" the company from current cash position to the milestone that unlocks a formal round.

When a bridge is a sign of trouble: If a company is bridging because it missed its milestones and needs time to recover, new investors will view the bridge as a red flag. When a bridge is positive: if the round is in process and capital just needs to close a timing gap.

India Context

Bridge rounds are extremely common in the Indian ecosystem, particularly in the seed-to-Series A gap. Many Indian startups raise ₹1–5 crore bridges from existing angels and seed investors while they build toward Series A thresholds. These are often called "pre-Series A" rounds — a marketing reframe of what is functionally a bridge.

The risk for Indian founders: multiple bridge rounds compound dilution quickly and can create a messy cap table that institutional VCs will question. Two or more bridge rounds is often a warning sign that the company's growth has not matched initial projections.

A B2B startup raised ₹3 crore seed 14 months ago and has ₹4 months of runway. They need 6 more months to reach ₹50 lakh MRR for a Series A conversation. Existing seed investors contribute a ₹1.5 crore bridge on a convertible note with 20% discount to Series A. The bridge buys 6 months, the company hits its target, and closes Series A 7 months later — with the note converting at a discount.
