Non-Disclosure Agreement.

By submitting a pitch deck, company information, or any business material to AletheiaAI (operated by BERRIES FINANCIAL ADVISORY SERVICES, Mumbai, India), you enter into a binding Non-Disclosure Agreement with us, governed by the Indian Contract Act, 1872.

This NDA is mutual. You share in confidence. Our team receives, analyses, and returns a memo — and that is the end of it. The original file is deleted. Nothing leaves.

“Confidential Information” means all information submitted to AletheiaAI, including but not limited to:

• Pitch decks and presentation materials in any format
• Financial projections, unit economics, and operating metrics
• Product details, technology specifications, and go-to-market strategies
• Team composition, cap table, and corporate structure
• Investor names, cheque sizes, valuation, and deal terms
• Customer data, pipeline, and revenue figures included in a submission
• Any other non-public information included in or accompanying a submission

AletheiaAI agrees to:

• Use your Confidential Information solely to generate the requested analysis or memo — for no other purpose
• Not disclose your Confidential Information to any third party
• Not share investor verdicts with founders, or founder analyses with investors under any circumstance
• Delete the original pitch deck file within 24 hours of analysis delivery
• Retain only the structured output (scores, analysis text, metadata) — never the original file
• Not use your submitted data to train AI models or improve systems without your explicit prior written consent
• Maintain reasonable technical and organisational measures to protect Confidential Information against unauthorised access

These obligations do not apply to information that:

• Is or becomes publicly available through no act or omission of AletheiaAI
• Was demonstrably known to us before your submission, independently
• Is required to be disclosed by applicable law, court order, or regulatory authority — in which case we will provide you prompt notice to the extent permitted by law so you may seek a protective order

By submitting, you represent and warrant that you have the legal right to share the information provided — either as the founder, an authorised representative of the company, or an investor who has received the pitch deck for evaluation purposes. You are responsible for ensuring you are not in breach of any third-party confidentiality obligation by submitting.

This agreement takes effect at the moment of your first submission to AletheiaAI and continues indefinitely. There is no sunset clause on our obligation not to disclose your Confidential Information.

The verdicts, memos, scores, and analyses generated are not financial advice, not investment recommendations, and not due diligence reports. They are structured analytical signals. You decide what to do with them. AletheiaAI accepts no liability for investment decisions made in reliance on its outputs.

This agreement is governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872 and, where applicable, the Information Technology Act, 2000.

Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
