Definition
Information rights are contractual rights that investors negotiate in the SHA requiring the company to share regular financial and operational information. Typical information rights: monthly management accounts (P&L, balance sheet, cash flow) within 10–15 days of month-end, quarterly business updates, annual audited accounts, and notice of material events (major new contracts, litigation, senior departures, down rounds).
Information rights matter because investors need visibility to protect their investment, prepare for follow-on investments, and make good LP reporting to their own investors. They also serve as an early warning system — investors who see deteriorating metrics can intervene (through board seats) before a crisis.
India Context
Indian information rights provisions in SHAs are typically more detailed than US equivalents, reflecting the relative youth of India's institutional VC market and the need for formalized governance. Standard Indian provisions include: monthly P&L and cash flow within 15 days, quarterly operating metrics, annual audited accounts within 150 days of year-end, and notice of any legal proceedings within 5 business days.
