Syndicate
A group of investors who pool capital to make a single investment, led by one 'syndicate lead' who identifies and negotiates the deal.

Definition
A syndicate is a structured group of individual investors who pool their capital into a single investment vehicle (usually a Special Purpose Vehicle — SPV) to make one investment together. One investor acts as the syndicate lead: identifying the deal, conducting diligence, negotiating terms, and managing the investment. Other investors (LPs of the syndicate) contribute capital and share in returns.
Syndicates allow: smaller investors to access deals with minimum cheque sizes they can't meet individually, syndicate leads to charge carry (typically 15–20%) on returns generated for their LPs, and startups to consolidate many small investors into one cap table entry.
India Context
AngelList India, LetsVenture, and Tyke are the primary Indian syndicate platforms. Indian syndicates have grown significantly: notable Indian syndicate leads include ex-operators (Flipkart alumni, Ola founders) who source deals through their networks and co-invest with LP syndicate members. SEBI's AIF framework creates the regulatory structure for Indian syndicates.
Founders benefit from syndicates because the cap table shows one SPV entry instead of 20 individual investors — keeping governance cleaner. The trade-off: syndicate LPs are typically passive (no strategic value), and the lead's relationship quality varies.
Example
An ex-Flipkart executive acts as syndicate lead, raising a ₹1.5 crore syndicate for a D2C startup. He contributes ₹50 lakh himself, and 15 LP investors contribute ₹50–1 lakh each, pooled into a SEBI-registered SPV. The SPV takes one line on the cap table. The lead earns 20% carry on returns generated — if the startup exits at 10x, the lead earns 20% of the LPs' profits in addition to his own direct return.
